Some Decisions Cannot Be Delegated
Analysis, diligence, and execution all move to other desks. The decision stays on yours. When it changes ownership, capital, direction, reputation, or what becomes possible next, someone still has to decide, and that someone is you.
Private Counsel is confidential strategic counsel for founders, CEOs, owners, and principals facing one consequential decision, where getting the frame wrong costs more than choosing the wrong option.
$10,000 · 90 minutes · One consequential decision · By confidential request only
Smart people can build a perfectly rational argument around the wrong premise.
THE DECISION BENEATH THE DECISION
Most consequential decisions arrive already framed. Sell or stay independent. Raise or preserve control. Acquire or walk. Hire or replace. Restructure or hold. Enter the market or wait. Then everyone gets busy evaluating the options.
I start one step earlier.
What problem are you actually solving?
Which assumptions quietly became facts?
Whose incentives shape the information reaching you?
Which constraints are real, and which have simply gone unchallenged?
What outcome are you already attached to?
What contradiction, reaction, timing issue, or instinct keeps refusing to fit the prevailing explanation?
And what becomes possible if the decision everyone is debating turns out to be the wrong one to be debating?
The decision stays yours. Private Counsel changes the conditions you make it under.
HOW I WORK
I look for the thing that doesn’t fit.
I look for the thing that doesn't fit.
The board deck says one thing. The numbers suggest another.
The executive you trust is pushing hard in one direction.
Your banker has a transaction to close.
Your investors have a timeline. Somewhere inside all that intelligent advice sits one detail, one reaction, one instinct you cannot quite make fit.
That's usually where I start.
I want to know what everyone has decided is true.
What nobody questions anymore.
Who benefits if the current framing survives.
What keeps recurring despite every attempt to fix it.
And what you keep noticing but can't yet defend in a spreadsheet.
Bring me the decision you can't afford to misread.
The Private Counsel Briefing is a 90-minute private working session on one live, consequential decision.
Before we meet, you send me a two-page Decision Brief. Two pages is the limit on purpose. The 47-slide deck stays in your drive.
I want the decision. The facts. The assumptions. The people with a stake in the outcome. The options you see. The constraints you believe are real. And the thing that still doesn't make sense.
During the Briefing we pull the decision apart.
What is fact?
What is assumption?
What is pressure dressed up as urgency?
Whose preferred outcome is quietly shaping the frame?
What are you treating as inevitable because nobody has challenged it yet?
And what changes if the thing you think you're deciding turns out to be a symptom?
Then I tell you what I see.
That may be:
Take the path.
Don't take the path.
You need one more piece of information before you decide.
You're giving this assumption far too much weight.
Or: neither. You're solving the wrong problem entirely.

Who this is for
Private Counsel is for the person the decision belongs to.
You have enough authority that your judgment changes what happens next. Enough at stake that getting it wrong costs more than money. Enough experience to know that smart people can build a perfectly rational argument around the wrong premise. And enough self-possession to hear something you'd rather not.
You want an independent mind, far enough outside to see what you may be too close to see, and willing to say it plainly.
Agreement is cheap. You can get it in-house.
Private Counsel works best with principals who would rather be challenged before the decision than comforted after it.
How I Hold Your Information
CONFIDENTIAL BY CONSTRUCTION
Everything you share stays between us. I hold no positions in client companies and take none during or after an engagement. Where a public company is involved, I work from public information plus whatever you choose to tell me, and nothing you tell me is used, shared, or traded on, ever. I am not your counsel, your banker, or your board, and I don't replace any of them. Each has a role. Mine is built around one thing: your judgment.
WHAT HAPPENS AFTER THE BRIEFING
Nothing is waiting for you at the end except the decision
Nothing is waiting for you at the end except the decision.
The Briefing is complete on its own. When we get to the end and the work is done, we're done. There is no retainer pitch in the final 15 minutes and no package waiting behind the door.
If the number of consequential decisions you carry, and the way we work together, justify an ongoing Private Counsel relationship, I may invite that conversation. Ongoing Private Counsel begins at $20,000 per month and is intentionally limited.
You're paying me to examine the decision in front of you.
That is the whole job.
